Ujerr Limited Agreement for Internet Services Terms & Conditions.

1. Definitions
Ujerr Limited is an Internet company providing Internet services, domain name registration, web site design, e-commerce, email accounts, web space and other IT related services. Use of Ujerr Limited’s services is at all times subject to the terms and conditions if this agreement. By using Ujerr Limited services you confirm acceptance of and agree to be bound by this agreement.

2. Information you provide
You warrant that you possess the legal right of ability to enter into this agreement whether on your own behalf or on behalf of a company/organisation you represent. You agree to be responsible for the use of Ujerr Limited and to comply with the obligations contained in the terms and conditions. You warrant that the information you provide us with is true and accurate and that you will notify Ujerr Limited of any changes of name, address and payment details.

3. Use of Services
You agree to keep secure your Ujerr Limited login information including password and other confidential information relating to your account for web space. Where design services are not taken, you are entirely responsible for the content of you web space. Ujerr Limited does not routinely monitor the contents of your pages. It is you the customer that is publishing information when you place files in your web space. If Ujerr Limited is instructed to publish information then the contents will be checked as routine. You may not use Ujerr Limited service in order to do any of the following: engage in illegal or unlawful activities, make available material protected by intellectual property laws, copyright or by rights of privacy, unless you own or control the rights thereto or have the consent required to do so. You may not publish or distribute anything that is defamatory, obscene, indecent or unlawful. You may not violate the legal rights of others. You are entirely responsible for any civil or criminal liability that is incurred as a result of your use of your web space. You are liable for any reasonable legal costs incurred by Ujerr Limited caused by the content of your web space and agree to indemnify us for any awards made against us by a court of law. A web site page is defined by a maximum of 250 words text, 800 pixels long 11.1” and a size of 50K for reasons of viewing quality, bandwidth constraints and costing.

4. Termination and Suspension of Services
Ujerr Limited may suspend or terminate your services at any time without prior notice should you fail to comply with these terms and conditions. Ujerr Limited requires one month’s notice in writing for cancellation of hosting services by clients. Where Ujerr Limited terminates your service for failing to comply with the terms and conditions, or you terminate you subscription, you will not be entitled to any refund of monies paid.

5. Payment
Payment is due within 28 days of the invoice date. You agree to pay all charges for Ujerr Limited services at the prices in effect at the time of payment becoming due. Ujerr Limited reserves the right to alter or amend charges in giving not less than 28 days notice. In accordance with The Late Payment of Commercial Debts Act 1998 you will be charged on all invoices paid late. Our terms are strictly 28 days from the invoice date. Interest rate applicable will be 2% above base rate per annum (proportionately). Ujerr Limited reserves the right to suspend or terminate your services where payment is not made within 28 days of payment becoming due. Your services continue to accrue charges while suspended. Charges for web space are based on an average transfer of 100Mb per week per site, transfers in excess of this will be discussed on an individual basis, and charges may be applied. Ujerr Limited reserve the right to apply a surcharge in the unlikely event that accesses exceed this limit. We cannot transfer domain names until all outstanding accounts are paid. The client shall bear the legal cost’s incurred by Ujerr Limited if an invoice is not paid after 28 days.

6. Limitation of liability
Ujerr Limited will at all times endeavour to provide an uninterruptible and error free service, however Ujerr Limited has no obligation of duty, liability or otherwise beyond that of a duty to exercise reasonable skill or care. Ujerr Limited is in no circumstances in contract or otherwise for direct or indirect loss of profits, customers or for any economic or consequential loss whatsoever arising from the use of ujerr Limited’s services. In the event Ujerr Limited are deemed liable, Ujerr Limited’s liability shall be limited to the amount the customer has paid in respect of the services for the period in which the incident or incidents occurred.

7. Severability
If any provision in this agreement is judged to be illegal or unenforceable, the remainder will not be prejudiced and will remain valid and in force.

8. Contract Terms
A 25% deposit will be levied upon commissioning of customers instructions for services. A cancellation fee of 75% will be made if the contract is terminated through no fault of Ujerr Limited. If web site copy is not received within 60 days of web site commission an interim account will be levied for 75% of the total and will be held on account.

9. Intellectual Property
All domain names are registered, unless otherwise instructed in the clients’ company or organisation name. No responsibility can be taken for any infringements arising from domain name registration. Client’s logos, artwork, graphics, photo’s etc remain the clients intellectual property. Design and programming of all source html and graphics are the intellectual property of Ujerr Limited, unless otherwise indicated.

10. Entire Agreement
This agreement constitutes the entire agreement between Ujerr Limited and you the customer. In making this agreement each party confirms that they have not relied on any inducement not recorded in this agreement.

11. Price/Quote/Tender Validity
All prices, quotations communicated are subject to changes without notice. Tenders and quotes are valid for 30 days from the date of the tender or quote.
